These Terms and Conditions (“Terms”) form a binding legal agreement between you (the user, whether an individual or a business entity) and Reforest Nation Ltd (“Reforest Nation”, “we”, “us”, or “our”). By accessing our website, purchasing our products, subscribing to our services, or otherwise using any service provided by Reforest Nation, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services
1. Business identity
1.1. Company Information: Reforest Nation Ltd is a social enterprise registered in Ireland as a private limited company. Our registered office is at Butterfield House, Carstown, Termonfeckin, Co. Louth, Ireland, and our Irish company registration number is 699452. We operate from and under the laws of Ireland.
1.2. Identity and Contact: Throughout these Terms, “Reforest Nation” refers to Reforest Nation Ltd. You can contact us by email or postal mail as provided on our website for any questions or notices regarding these Terms. Reforest Nation may also be referred to as “the Company”, and the term “Services” refers to all products, memberships, digital content, and features we offer.
1.3. Acceptance of Terms: By using our website or Services (including by visiting, making a purchase, subscribing, creating an account, or participating in any events), you confirm that you accept these Terms and agree to comply with them. If you are using the Services on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms, in which case “you” will refer to the entity. These Terms apply to all users of our site and Services, including casual visitors, individual supporters, gift recipients, and business partners.
2. Products and services
Reforest Nation provides various environmentally focused products and services. Our core mission is to facilitate the funding of native tree planting and reforestation efforts in Ireland and Kenya through user contributions. The products and services we offer are primarily symbolic gifts and partnership programs that channel funds into real tree planting and conservation activities. By purchasing or subscribing to our offerings, you are making a contribution to support reforestation, and in return you receive symbolic acknowledgments (such as digital certificates) rather than physical goods. Key aspects of our products and services include:
2.1. Tree Planting Gifts: We offer digital “tree gift” products, where a user can pay for a specified number of trees to be planted as a gift, memorial, or personal contribution. For example, users may “plant a tree” or a set of trees in honor of someone and receive a personalized digital certificate and bespoke artwork to commemorate the gesture. These contributions fund the planting of real native trees in Ireland and Kenya. The certificate and artwork are symbolic and serve as a record of your gift.
2.2. Wildlife Symbolic Adoptions: We provide symbolic wildlife adoptions, allowing users to “adopt” a native animal species (such as an Irish wildlife species) in name. This is a symbolic program – no real animal is captured or given, but the adoption payment is used to support our reforestation and habitat restoration efforts that benefit wildlife. Users who purchase a wildlife adoption will receive digital content (such as a certificate or information sheet about the species and our work) to acknowledge their support. The naming of these adoptions may reference a particular species or individual animal for symbolic purposes, but it does not confer any ownership or rights over any actual animal.
2.3. Business Partnership Packages: We collaborate with companies and organizations through business partnership packages. Businesses can partner with Reforest Nation to fund tree planting as part of their corporate social responsibility or sustainability initiatives. In such packages, a business might sponsor a certain number of trees (often at volume), and in return may receive rights such as usage of our branding to a limited extent (with prior approval), inclusion in certain events, or public recognition. No partnership is exclusive – Reforest Nation may partner with multiple companies, including those in the same industry, and no company is given exclusivity or territorial rights through these standard partnership programs (see Section 8 below for detailed terms on partnerships).
2.4. Digital Certificates and Artwork: For each tree planting gift or adoption purchase, Reforest Nation provides digital materials to the supporter or gift recipient. These typically include a personalized digital certificate documenting the contribution (e.g. stating the number of trees funded or the wildlife species symbolically adopted) and unique digital artwork created by our in-house designer (who operates under the pseudonym “Antoinette Monet”). All such certificates, designs, and artwork are delivered electronically (for example, via email or download from our site) and are suitable for printing or sharing digitally. They are intended as a token of appreciation and a representation of the environmental contribution made.
2.5. Symbolic Naming and Actual Planting: The naming conventions of our products (such as the species of tree or animal mentioned) are symbolic and for illustrative purposes. While we strive to plant trees that reflect the spirit of your purchase (e.g. planting native Irish tree species if you bought an “Irish Oak Tree” gift), we do not guarantee that the tree planted will be of the specific species named in the gift. All trees planted through our programs will be appropriate native species selected based on ecological considerations and availability. Likewise, if a particular wildlife species is mentioned in an adoption, your contribution supports overall habitat restoration and not any one individual animal.
2.6. Pooled Planting (No Specific Tree Ownership): All trees funded through Reforest Nation are planted as part of collective reforestation projects, rather than being individually assigned to each contributor. This means your contribution, along with those of other supporters, is pooled to fund the planting and care of trees across our project sites. You will not have a designated tree that you exclusively “own” or control. In fact, contributors do not gain any ownership rights to any tree or any land where trees are planted . The planting sites and the trees remain under the ownership or stewardship of Reforest Nation or our planting partners/landowners. Your purchase guarantees that the equivalent number of trees will be planted on your behalf, but it does not confer any property interest in those trees or the land. The same applies to business partners funding larger numbers of trees – no exclusive grove or property rights are assigned unless expressly agreed in a separate written contract.
2.7. Quantity of Trees per Contribution: Reforest Nation aims to maximize the environmental impact of each contribution. As a guideline (as of the effective date of these Terms), each €2.98 (excl. VAT) contributed is intended to fund approximately one tree planted in Ireland and one tree (or equivalent seedballs) in Kenya. In other words, for each unit of €2.98 (excl. VAT), we plan to plant roughly one native Irish tree and also support planting of one tree (or an equivalent measure of reforestation such as a group of seed balls) in Kenya. This 1-for-1 model (one tree in each country) is a reflection of our commitment to both local and international reforestation. However, this ratio is an approximation and not a guaranteed promise. The actual number of trees or seedballs that your money funds may vary based on real-world factors such as planting costs, land access, seasonality, and operational efficiencies. Reforest Nation reserves the right to allocate your contribution in the manner that best advances our mission — for example, if planting costs in Ireland or Kenya change, or if one region’s program faces delays, we may adjust the allocation while ensuring your money still goes toward tree planting and ecosystem restoration.
2.8. No Guaranteed Location or Species: When you purchase a tree gift or adoption, any descriptions of location (e.g., “in Ireland” or a specific county) or species (e.g., “oak tree”) are provided in good faith based on our planned projects, but they are subject to change. We do not guarantee that a tree will be planted in a specific precise location or that it will be of a particular species. All planting locations and species selections remain at the discretion of Reforest Nation’s forestry team, who will use their expertise to choose what is best for the forest ecosystem. All contributions are ultimately used for native reforestation efforts in our two focus regions: Ireland and Kenya, but the distribution between those regions and the choice of planting sites within them may vary. We may, for example, substitute one planting site for another or plant a different mix of native species than initially anticipated, in order to respond to environmental needs, partner arrangements, or logistical constraints.
3. Tree planting conditions and fulfilment
Reforest Nation is committed to carrying out the tree planting and reforestation activities funded by your contributions in a timely and transparent manner. This section sets out the conditions and expectations around how and when trees are planted:
3.1. Planting Timeline: We endeavor to plant all trees funded by your purchase or donation within 24 months (two years) of receiving your payment. This means that if you contribute to plant trees, those trees should be in the ground no later than two years from the date of purchase. This timeframe allows us to account for planting seasons (typically, tree planting in Ireland occurs in particular months of the year suited for young saplings) and to coordinate with our partners in Kenya for their planting activities. In many cases, we plant much sooner than 24 months, but this period provides a buffer for unforeseen delays.
3.2. Potential Delays – Force Majeure and Operational Factors: While we intend to meet the 24-month planting goal, you acknowledge that various operational or environmental factors may cause delays. Such factors include (but are not limited to) adverse weather conditions, natural disasters, delays in obtaining landowner permissions or regulatory approvals, shortages in native sapling supply, logistical challenges, political or social disturbances in the planting area, or other events beyond our reasonable control. If such circumstances arise, Reforest Nation reserves the right to extend the planting timeline as needed. We commit to transparency in such cases and will strive to inform supporters (via our website, newsletters, or email updates) of any significant delays affecting the planting of contributed trees.
3.3. Fulfillment and Reallocation: If a specific project or site you have been told about cannot proceed within the intended timeline or at all (for example, if a planned Irish site becomes unavailable or conditions in a Kenyan project area become unsafe), Reforest Nation may reallocate your funded trees to an alternative project or location. We will ensure that the general intent of your contribution is honored (i.e., a tree is planted because of your support), but it might end up in a different area than initially planned to avoid indefinite delay. For instance, if an Irish planting site is backlogged, we might plant more of your trees in Kenya sooner (or vice versa), or use an alternate site in Ireland. Reforest Nation will make such decisions with the goal of timely planting and ecological impact, and, where feasible, will choose a site of similar nature (e.g., within Ireland if possible if that was your expectation). In all cases, funds will be used for tree planting and not diverted elsewhere.
3.4. No Specific Tree Assignment: As noted, tree planting is pooled and not individually assigned. Therefore, Reforest Nation does not tag or label individual trees with contributors’ names, and we cannot tell you exactly “which” tree was planted with your specific euros. All contributors to a given project collectively finance the planting on that site. We emphasize that the certificates and any naming of trees (such as “Your Oak Tree”) are symbolic — they represent the act of planting and the aggregate impact of your contribution. The actual trees planted do not have plaques or individual designations and become part of the natural forest.
3.5. Location Information and Maps: Reforest Nation may provide general information about where trees are being planted. For example, we might share the county or region (such as “Co. Wicklow, Ireland” or “near Mount Kenya region in Kenya”) or provide a map on our website highlighting project areas. Any specific coordinates or maps we provide are approximate and for illustrative purposes only. We may provide a GPS coordinate as an example location within a reforestation site, but this will not pinpoint the exact location of each tree you funded, nor will it necessarily mark the boundaries of the planting site. These approximations are intentional to protect the sites: This ensures that sensitive reforestation areas and private lands are not disturbed by unsupervised visits or overuse, and it also accounts for the reality that plantings occur over large areas rather than one precise spot. In short, location data we share is meant to give you a reasonable idea of the area of impact, not an exact reference.
3.6. Protection of Forest Sites: For the safety of the ecosystem and all involved, visits to any reforestation sites funded by Reforest Nation are only permitted during official events or with express permission (see Section 9.3). The general public (including supporters) should not attempt to find or access planting sites based on coordinates or descriptions we provide, except when invited for organized tours or volunteer days. Coordinates may be deliberately offset from exact positions and maps may omit precise details to ensure that forest regeneration can proceed without interference or vandalism. We appreciate your understanding that newly planted forests need time and protection to thrive.
3.7. Quality and Species of Trees: Reforest Nation commits to planting native tree species in all reforestation projects. In Ireland, this means we plant species native to Irish ecosystems (such as oak, birch, rowan, holly, hazel, etc.), and in Kenya, species native or suitable to the local ecology (often through seedball reforestation of indigenous trees). The exact mix of species at any site will depend on local biodiversity plans and availability. We do not guarantee any single species count unless explicitly stated, but we strive for biodiversity. All trees are planted following best practices to create healthy, “eco-optimised” forests (a term unique to Reforest Nation’s approach, referring to forests designed for optimal biodiversity and ecosystem benefits). Note that the phrase “eco-optimised forest” is a unique concept and trademark of Reforest Nation, highlighting our proprietary method of planting for maximal ecological benefit. You agree not to use this phrase in a commercial context as it is part of our intellectual property (see Section 7).
3.8. Survival and Maintenance: After planting, trees are subject to natural growth and survival rates. We endeavor to ensure high survival by planting in suitable conditions and performing maintenance such as weeding or guarding saplings as needed. However, we cannot guarantee that every single tree planted will survive to maturity. Some losses are possible due to weather, wildlife, disease, or other factors. Our commitment is to plant the target number of trees; once planted, nature takes its course. We do not typically replace individual trees that die, but we factor expected survival rates into our planting plans to still achieve the overall forest goals. The impact statements we make (e.g. regarding carbon absorption or habitat creation) are predictive estimates based on commonly accepted scientific research, but actual outcomes will vary and are not guaranteed (see Section 9.4 on disclaimers of ecological outcomes).
4. Payments and subscriptions
By purchasing products or making donations on our site, you agree to provide a valid payment and you authorize us (or our third-party payment processors) to charge the payment method for the total amount of your order (including any applicable taxes or fees). The following terms apply to payments and any subscription services:
4.1. Pricing and Currency: All prices for Reforest Nation’s products and services are listed in Euro (€) unless clearly indicated otherwise. Our prices include Irish Value Added Tax (VAT) where applicable, unless stated otherwise. If VAT or other taxes are not included (for example, for zero-rated donations or international orders), this will be clearly indicated and such taxes may be added at checkout as required by law. We reserve the right to adjust prices from time to time (for example, due to changes in VAT rates or our cost of operations), but once you have completed a purchase, the price you paid will not be affected by subsequent changes.
4.2. Accepted Payment Methods: We accept several forms of payment for one-time purchases and subscriptions, including major credit and debit cards processed via Stripe, as well as digital payment options like Apple Pay. For certain products or in certain regions, we also offer payment via Klarna (a third-party payment service that may allow pay-later or installment options). By using any of these payment methods, you agree to the processing of your payment information by the relevant third-party provider. We do not store your full credit card details on our servers; all card transactions are handled securely by our payment processors. You must provide current, complete, and accurate billing information. If your payment method fails or is declined, we may suspend or cancel your order or subscription.
4.3. Klarna and Third-Party Payment Terms: If you choose to pay using Klarna or any financing/installment plan, please note that Klarna’s own terms and conditions will apply to your payment agreement. Reforest Nation has no control over the terms set by Klarna, and those terms may change independently of our Terms. It is your responsibility to review and accept Klarna’s terms (which may include credit checks, payment schedules, and late fees) when selecting that payment option. Reforest Nation disclaims liability for any issues arising from your use of a third-party payment service; any dispute or question about the payment plan (e.g., payment schedule, interest, credit approval) must be addressed with the third-party (e.g., Klarna) directly. That said, your underlying purchase from Reforest Nation (the product or donation) is still governed by our Terms. If a conflict arises between our Terms and the third-party payment terms regarding your obligations to Reforest Nation (for example, delivery of the certificate), our Terms will govern the aspect of our services.
4.4. Subscriptions (Memberships): Reforest Nation offers subscription-based memberships (for example, a monthly or annual plan where you contribute regularly to plant trees every month or year). By subscribing, you agree that your payment method will be charged automatically on a recurring basis (e.g., monthly or annually, as per the plan you select) for the amount specified at the time of subscription. Your subscription will auto-renew indefinitely until you cancel. We will collect payment without obtaining further permission before each renewal until you cancel. We may, however, send you a reminder or notice of upcoming renewal in advance (especially for annual plans or if there is a change in price), but we are not legally obliged to do so as your initial agreement covers continuous renewal.
4.5. Subscription Cancellation: You may cancel a subscription at any time. Cancellation can be done by logging into your account on our website and selecting the cancel option for your subscription plan, or by contacting our customer support with a clear request to cancel. There are no cancellation fees. If you cancel, the cancellation will take effect from the next billing cycle. This means you will not be charged again moving forward, but we do not refund any prepaid period of a subscription. For example, if you paid for a year upfront and cancel halfway through, you will not receive a refund for the remaining months, but you will continue to have access to any member benefits until the end of the period you paid for. For monthly pay-as-you-go plans, if you cancel in the middle of a month, generally your access or benefits will continue until the end of that paid month and simply not renew thereafter. We recommend cancelling at least a few days before the next scheduled payment to ensure your card is not charged for that cycle (cancellations through the website are usually processed immediately, but if you have any issues, contact us promptly).
4.6. Changes to Subscription or Pricing: Reforest Nation reserves the right to change the pricing or terms of its subscription memberships. If we do so, and you are an existing subscriber, we will provide you notice of the change in advance (for example, by email or a notice on our site) and such changes will only apply from your next renewal. If you do not agree to the changed price or terms, you may cancel the subscription before the new terms take effect. Continued use of the subscription after the change constitutes acceptance of the new terms.
4.7. Payment Security: Our website uses encryption (HTTPS/SSL) and we partner with reputable payment providers (e.g., Stripe, Apple Pay) to process transactions securely. However, you understand that no data transmission over the internet can be guaranteed as 100% secure. While we take reasonable measures to protect your information, we cannot warrant absolute security of information transmitted to our site; any payment details you provide are given at your own risk. Once we receive your information, we will use strict procedures to safeguard it. Please review our Privacy Policy for details on how we handle personal data.
5. Refunds and cancellation policy
Reforest Nation’s products and services are fundamentally tied to our reforestation mission. Payments made by users are immediately allocated for planting trees and supporting our environmental projects, which means we have limited ability to offer refunds. By making a purchase or donation, you acknowledge that all sales are final and non-refundable, except in the specific circumstances outlined below:
5.1. No Refunds on Contributions: All contributions, purchases, and donations made through our site are generally non-refundable. This includes one-time payments for tree gifts or adoptions, as well as subscription payments already processed. Because these funds are used for environmental restoration activities (often promptly committed to ordering seedlings, funding seedball distributions, and other project costs), we cannot typically undo those actions to provide a refund. Additionally, digital products such as certificates and artwork are delivered immediately and cannot be “returned” in any practical sense. By the nature of our service (which is donation-based and for a charitable cause), there is no “cooling-off” period or right of return once a donation is made. We appreciate your understanding that when you contribute, you are helping our mission, and those funds are put to work quickly.
5.2. Exceptions – Subscription Cancellation Errors: The primary exception to our no-refund policy is if Reforest Nation fails to timely cancel a subscription after you have requested cancellation. If you have followed the proper procedure to cancel your membership/subscription (such as via your account settings or by written request to us) and you have received confirmation of cancellation (or have evidence of your request), but we nonetheless continue to charge you for the subscription, we will refund the charges that occurred after the date of cancellation request. In other words, if our system or staff made an error and did not process your cancellation, resulting in an unintended charge, we take responsibility for that and will correct it. Please notify us as soon as you notice any such charge so we can investigate and issue appropriate refunds.
5.3. Duplicate or Error Transactions: While our policy is no refunds, we do recognize genuine mistakes can happen (for example, accidentally clicking payment twice and being charged twice for the same item, or entering a donation amount incorrectly such that it’s drastically higher than intended). If you believe you have been charged in error or made a duplicate payment, please contact us immediately with the details. We may, at our discretion, review the situation and, if we confirm the mistake (e.g., two identical orders were made back-to-back, or a clear typo in amount was made), we may issue a refund or credit for the erroneous or duplicate portion . This is done on a case-by-case basis and is not guaranteed for every situation, but we aim to be fair and understanding with our supporters. We reserve the right to deduct any transaction fees that were imposed on us (since third-party processors might not refund those) from the refunded amount, unless those fees can be waived.
5.4. How Refunds are Processed (if applicable): In the rare cases where a refund is granted, it will typically be made through the same payment method used for the original transaction. For example, if you paid by credit card, the refund will be credited to that same card. Refunds will be processed as soon as feasible for us, but please allow up to 10 business days for the amount to appear on your statement (as processing times vary by bank/card). If the original payment method is no longer available (e.g., the card account is closed), you must inform us and provide an alternative method; additional verification may be needed in such cases.
5.5. Donations as Charitable Gifts: Many purchases on our site are effectively donations. Under Irish charity law and general practice, once a donation is made to a charitable or social cause, donors do not have an automatic right to a refund except in particular circumstances. Although Reforest Nation Ltd is a social enterprise (and not all of our contributions are tax-deductible charitable donations), we treat your payments as commitments to our mission. Changing your mind about a contribution is not generally a valid reason for a refund. We encourage you to be sure about your decision before you contribute. If you have questions about how funds will be used, contact us prior to payment.
5.6. Cancellation of Orders by Reforest Nation: We reserve the right to cancel and refund an order or contribution at our discretion. For example, if we suspect that a transaction is fraudulent or unauthorized, we may cancel it and refund the payment to prevent loss. We may also decline to accept a large donation if it comes with conditions we cannot meet (returning the funds in that case), or cancel an order if we made a mistake in pricing that the user took advantage of (see Section 12 on the right to correct errors). If we initiate a cancellation of your order, we will provide you notice and a full refund of the amount you paid, unless cancellation was due to wrongful behavior on your part (in which case we may withhold payment until the matter is resolved or as directed by authorities).
5.7. Effect of Refund on Digital Goods: If for any reason a refund is issued on a purchase that included digital goods (like a certificate or artwork), you agree to delete or destroy any copies of the digital goods and acknowledge that any licenses or rights you had to use those goods are revoked. For instance, if you received a certificate and then got a refund (per a special exception), the certificate is no longer valid, and any claim associated with it (such as “I planted X trees”) should be withdrawn.
This refund policy does not affect any statutory rights you may have as a consumer. However, please note that under European Union consumer law (and the laws of Ireland), certain digital or charitable products may not carry the usual right of withdrawal. By agreeing to these Terms and proceeding with a purchase, you consent to the immediate performance of our services (planting arrangements and digital delivery) and acknowledge that you lose any right of withdrawal or cancellation that might otherwise apply to digital content or donation services once the service has begun (which is usually immediately upon payment). Nothing in these Terms seeks to exclude rights that cannot be excluded by law, but in the event of any ambiguity these Terms shall be interpreted to be compliant with Irish consumer protection laws.
6. Member accounts and event access
Reforest Nation provides a member account system (a “Member Area”) on our website to enhance our supporters’ experience, as well as opportunities for supporters to join events such as tree-planting days. The following terms apply to user accounts, membership access, and event participation:
6.1. Member Area Overview: The Member Area is a section of our website where users can log in to view information about their contributions (e.g., how many trees they have funded, certificates available for download, or updates on projects), manage their subscriptions, and access exclusive content (such as impact dashboards, community forums, or educational materials). Access to the Member Area requires a registered user account (username/email and password). Account holders are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
6.2. Account Eligibility and Creation: As of 2025, when a user purchases a subscription (membership) to Reforest Nation, an account is automatically created for them as part of the checkout process. You will either choose login credentials or receive an email prompting you to set a password for your new account. This automatic account creation is meant to streamline access to member benefits. If you receive a Reforest Nation gift (for example, someone else bought trees in your name and you received a certificate via email), or if you supported us prior to 2025 without a formal account, you are not automatically given an account. However, gift recipients and past supporters can sign up for a member account for free by registering on our website. We encourage gift recipients to create an account using the same email that was used for the gift, so that any associated contributions can be linked to your account.
6.3. Accurate Information: When creating an account (whether automatically or manually), you must provide accurate and current information (such as your name and email address). You may not create an account using someone else’s identity or information, and you should not share your account with others. Each individual should have their own account. Business partners may receive a designated account or portal for their partnership, which should be managed by an authorized representative of the business.
6.4. Member Benefits: Account holders (members) may receive certain benefits, such as access to special content, the ability to track cumulative impact (e.g., total trees planted), participation in member forums or groups, and priority invitations to events. The exact benefits can change over time and are not guaranteed. Reforest Nation reserves the right to modify what features or benefits the Member Area provides, or to impose certain conditions on accessing features (for example, some features might only be available to active subscribers or to those who have contributed above a certain amount).
6.5. Access for Gift Recipients: If you have been given a certificate or code as a gift from someone (meaning they paid and “gifted” you the trees), you might need to redeem a code or register to fully access all details of that gift in the Member Area. Gift recipients are welcome to join the Reforest Nation community by creating a free account. No additional payment is required to register an account in such a case — the account is simply a way for you to engage more deeply (for example, see project updates or manage future contributions you decide to make).
6.6. Events and Tree-Planting Days: Reforest Nation may organize events such as tree planting days, forest site visits (e.g., a “forest appreciation day” where supporters can visit a reforestation site), workshops, or community gatherings. Access to events is typically managed through public announcements, our website’s event page, and email newsletters. We may send out invitations or open registration for events via these channels. It is the responsibility of interested users to keep informed about upcoming events through our website or by subscribing to our newsletter. While we make efforts to spread the word, Reforest Nation does not guarantee individual or personalized notifications for each supporter about each event. (For example, we won’t call each member to inform them of an upcoming planting day; instead we’ll post it on the site and newsletter.)
6.7. Event Attendance: If you wish to attend an event, you may need to RSVP or sign up as described in the event announcement. Events may have limited capacity, and spots are generally first-come, first-served unless otherwise stated. Some events might be exclusive to certain supporter tiers or partners; if so, that will be indicated. When attending any event, you may be required to agree to additional Event Terms & Conditions or sign a waiver acknowledging the inherent risks of outdoor activities (as was shown in our Forest Appreciation Day waiver example). Reforest Nation will provide any such terms at the time of event sign-up. In any case, by attending, you agree to follow all instructions of event coordinators and to behave responsibly (see also Section 13 on User Conduct).
6.8. No Guarantee of Event Availability: We do not warrant that an event will be available in your area or at a convenient time for you. Our events depend on our project schedules and resources. Missing an event or being unable to attend does not entitle a user to any refund or special accommodation, as events are complimentary/community benefits, not paid services. We also reserve the right to cancel or reschedule events, or change their location or timing, and will endeavor to update the information on our website accordingly.
6.9. Revocation or Suspension of Access: Reforest Nation reserves the right to suspend or terminate your member account or revoke your access to the Member Area or events at our discretion if we determine that you have violated these Terms or other applicable policies, or if you engage in behavior that is abusive, fraudulent, or otherwise harmful to our community or mission. This includes misuse of content (e.g., if you attempt to scrape data or share member-only content inappropriately), harassment of staff or other members, false representation as an agent of Reforest Nation, or any illegal activities (see Section 13 on prohibited conduct). We may also disable accounts that have been inactive for an extended period or that were created with throwaway emails, suspect intent, or by automated means. If your account is terminated due to a breach of terms or misconduct, you may also forfeit any pending benefits (such as event invites or membership rewards), without entitlement to compensation.
6.10. User Responsibility for Account: You are responsible for maintaining the confidentiality of your account login credentials. If you believe your account has been compromised or accessed without authorization, you must inform us immediately. We are not liable for any loss or damage arising from unauthorized use of your account if you failed to keep your credentials secure. We may hold you liable for losses incurred by us or others due to such unauthorized use. Always logout from the member portal especially when using public or shared devices.
6.11. Free Nature of Basic Membership: Creating a basic member account is free of charge. You do not have to pay simply to register or to access the Member Area (aside from any subscription or purchase you choose to make). We reserve the right in the future to introduce different membership tiers, including possibly a paid tier with extra features, but any such changes will be communicated and would be optional. Currently, there is no minimum age to create an account (see Section 14.1) but by creating one you affirm you are capable of doing so and, if under age of majority, that you have consent from a parent/guardian (recommended though not strictly required at this time).
7. Intellectual property rights
All content and materials on the Reforest Nation website and produced by Reforest Nation are protected by intellectual property laws. We value our brand, creative works, and unique concepts and expect users to respect them. The following terms govern the use of intellectual property:
7.1. Ownership of Website Content: Reforest Nation Ltd owns all intellectual property rights in and to our website and Services, including but not limited to the text, graphics, logos, images, photographs, illustrations, designs, icons, video or audio clips, digital downloads, data compilations, software, and the overall look-and-feel and compilation of content on the site. All such content is either the property of Reforest Nation or used under license from third-party rights holders. This includes the unique product concepts (such as our adoption packages and membership structures) and any descriptions we have authored. Content that is explicitly identified as being by a third party (for example, a guest blog post or third-party report) remains the property of its respective owner, but by providing it on our site, we have the necessary rights to display it.
7.2. Trademarks and Brand: “Reforest Nation”, our logo, and our slogans (including “eco-optimised forest” and any other brand identifiers we use) are trademarks or service marks of Reforest Nation Ltd. You are not permitted to use our name, logos, or trademarks in any way that is likely to cause confusion as to ownership or affiliation, or in any manner not expressly allowed by us. Specifically, businesses or individuals cannot use our brand or logo in promotions, marketing, or on websites without prior written permission (see Section 8 for partnership marketing rules). We reserve all rights to our trademarks. Any goodwill generated by use of our marks inures to us.
7.3. License to Use Site for Personal Use: Reforest Nation grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal use of our website and content for its intended purpose (e.g., learning about our mission, making contributions, obtaining your certificate). This license does not include any resale or commercial use of our site or content; you may not reproduce, duplicate, copy, sell, or exploit any portion of our content for commercial purposes without express written permission from us . You also may not collect or data-mine our content (e.g., scraping text or images) for any purpose, nor frame our site within another site, without our consent.
7.4. Artwork and Design: All artwork provided by Reforest Nation (including the digital watercolour or graphic designs by Antoinette Monet, our in-house designer’s pseudonym) is protected by copyright. Reforest Nation either owns the copyright or has an exclusive license to it. When you receive digital artwork from us (e.g. as part of a certificate package), we grant you a personal, non-commercial license to use that artwork only for the purpose it was intended – for instance, you may print it for your own display or include it in the gifted certificate to a recipient. You may not reproduce or use our artwork for other purposes: you cannot sell prints of it, incorporate it into merchandise, claim it as your own creation, or use it to promote anything without permission. If you share it on social media to show your support, we appreciate a credit to Reforest Nation or a tag, but even in sharing, you must not alter the artwork or remove any signature/watermark that identifies the artist. The pseudonym “Antoinette Monet” represents our designer; it does not affect our ownership of the work.
7.5. Website Text and Media: The writings on our site (e.g., blog posts, FAQ answers, project descriptions) are original content. You may quote small portions (for example, a few sentences) for non-commercial purposes such as news reporting or educational commentary with proper attribution to Reforest Nation. However, you may not copy large sections or entire pages without permission. If you are an educator or partner and wish to use some of our materials, please contact us for authorization.
7.6. Prohibited Use of IP – Takedowns: Any unauthorized use of the content on our website or of our intellectual property is strictly prohibited. This includes, but is not limited to: using our photos or graphics on your own website without permission, plagiarizing our text, imitating our products or services in a confusing way, or using our name/logo in a manner not allowed. If we discover unauthorized use, we reserve the right to issue takedown notices (for example, under the Digital Millennium Copyright Act (DMCA) for content on U.S.-based servers, or equivalent mechanisms elsewhere) to have the infringing content removed. We also reserve the right to take legal action against any individual or entity that misuses our intellectual property or infringes our rights, seeking injunctions, damages, and any other remedies available under law.
7.7. Reporting Infringement: If you believe any content on our site infringes someone’s intellectual property rights (for example, if a user-submitted testimonial included an image they don’t own), please report it to us at our contact email with details. We will investigate and take appropriate action, which may include removing the content if warranted.
7.8. User Content on our Site: To the extent we allow users to post content on our site or social media pages (e.g., comments, testimonials, forum posts, or uploaded images), you retain ownership of any intellectual property in the content you post. However, by posting or submitting content to us, you grant Reforest Nation a worldwide, royalty-free, perpetual license to use, reproduce, modify, display, distribute, and create derivative works from your content in connection with our services and marketing. For example, if you share a testimonial or a photo of you planting a tree at our event, we may feature that on our website, newsletters, or social media (see Section 10.1 for testimonial usage). You also agree that we may use your first name, initials, or account name in connection with the content (for attribution or authenticity) unless you explicitly request anonymity. You represent that any content you post is your own or that you have permission to give us this license (for instance, do not upload someone else’s copyrighted photo or a quote from another person without rights).
7.9. “Eco-Optimised Forest” and Other Unique Phrases: Reforest Nation prides itself on pioneering concepts in reforestation. Phrases like “eco-optimised forest” have been coined by us to describe our approach. Such unique phrases and branding materials are considered part of our intellectual property and identity. They may also be subject to trademark. You agree not to misappropriate our unique terminology for other projects or organizations in a way that could confuse or dilute our brand. For example, another group should not advertise creating “eco-optimised forests” without our consent, as this could imply a connection to us. We will enforce our rights in our branding and terminology to the full extent of the law, including seeking injunctive relief to stop any unauthorized use that could cause confusion among supporters or the public.
7.10. Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Reforest Nation. This means if we haven’t given you permission in these Terms, you should assume you cannot do it. You also acknowledge that any improvement suggestions or feedback you provide to Reforest Nation about our website or services can be used by us freely and does not entitle you to any intellectual property claim. (For instance, if you suggest we add a new feature and we do so, you agree we own all rights to that feature implementation.)
8. Company partnerships and corporate supporters
Reforest Nation collaborates with corporate and organizational partners who support our reforestation efforts. While we greatly value such partnerships, it is important to define the terms under which businesses may participate and represent their involvement. This section applies to any company, nonprofit, school, or other organization (“Business Partner”) that works with or supports Reforest Nation in a formal manner (outside of being a normal consumer on our site):
8.1. Non-Exclusivity of Partnerships: Reforest Nation does not grant exclusivity to any partner by default. That means when a company partners with us or sponsors tree planting, they do not become the sole or exclusive partner in any category, industry, or region. We reserve the right to accept support from and partner with multiple organizations, including companies that might be competitors with one another, without any duty to seek consent from existing partners. Each partnership is independent. For example, if Company A in the tech industry sponsors 1,000 trees, Company B in the tech industry may also do so; Company A cannot claim that Reforest Nation is exclusive to them or object that we also work with Company B. Any agreement for exclusivity would have to be explicitly negotiated in a separate written contract signed by Reforest Nation’s authorized officer; otherwise, no exclusivity is implied or granted.
8.2. Use of Reforest Nation Name and Branding by Partners: While we encourage partners to share their good deeds, a business or organization may not publicly promote or advertise their support of Reforest Nation without our formal approval of the messaging and use of branding. In other words, simply donating or sponsoring trees does not automatically give a company the right to use our logo, name, or story in their marketing or PR campaigns. We require that any mention of Reforest Nation in press releases, on a company’s website, in social media, or on product packaging be reviewed and approved by us in writing beforehand. This is to ensure accuracy and to prevent any unintended misrepresentation. Businesses wishing to announce their partnership should contact us for guidelines and obtain written consent for any specific usage. Unauthorized claims of partnership or use of our trademarks by a company could mislead the public and are strictly prohibited (see also Section 13.5 on false affiliation claims).
8.3. Co-Branding and Promotional Materials: If a partnership level includes co-branded materials (for instance, a “Reforest Nation Partner” badge, or joint event banners), Reforest Nation will provide the official assets and guidelines for their use. All promotional materials referencing Reforest Nation must adhere to our brand guidelines, which cover things like logo placement, colors, disclaimers, and permitted language. Partners must not alter our logo or materials without permission. For example, a partner can be given a digital badge that says “Proudly supporting Reforest Nation – Planting X Trees”, which they may use on their website’s CSR page; however, they cannot change that to a different phrasing or design without approval. We may require partners to include a specific disclaimer (e.g., “Trees planted in partnership with Reforest Nation across various sites in Ireland and Kenya”) to avoid any public confusion.
8.4. No False or Overstated Claims: A Business Partner should not make statements that overstate the nature of the partnership or imply a deeper relationship than exists. For instance, if a company sponsors 500 trees, it should not advertise “We are official partners of Reforest Nation planting an exclusive forest” (since the forest is not exclusive to them and “official partner” might imply a formal joint venture). A truthful statement would be “We supported Reforest Nation by funding the planting of 500 native trees.” Partners are expected to be truthful and clear, and Reforest Nation reserves the right to require correction or retraction of any misleading public statements regarding the partnership.
8.5. Termination of Partnership: Reforest Nation may end a partnership arrangement at any time, for any reason, at our sole discretion. Reasons for termination could include the partner’s misuse of our brand (as above), the partner engaging in activities that conflict with our mission or values (for example, a company causing environmental harm while trying to greenwash through us), failure of the partner to meet agreed terms (like not providing promised funds), or any conduct by the partner that could harm our reputation. If such termination occurs, Reforest Nation will notify the partner and the partner must immediately stop using our name/logo in any new materials and cease representing themselves as affiliated with us. No refund will be due to the partner for any donations or sponsorship funds already contributed, even if the partnership is ended early. Those funds, having been donated, remain with Reforest Nation to further our planting work. (For clarity: partnership contributions are treated as donations; ending the partnership doesn’t undo the trees planted or entitle the company to get money back. We will still plant the trees that were paid for if not already planted.)
8.6. Partner Benefits and Events: Some partnership packages might include benefits like invitations to tree planting events, speaking opportunities at our events, or inclusion of the partner’s logo on our website or materials. Such benefits are a courtesy and subject to change. If a partnership ends, any future benefits are forfeit. We do not guarantee any particular outcome (for instance, we cannot guarantee that a partner’s support will yield a certain amount of media exposure or employee engagement). Partners join because it’s the right thing to do and aligns with their values, not for guaranteed ROI, though we strive for mutually positive relationships.
8.7. Attribution of Planted Trees: Tree planting locations for corporate partners are not segregated or dedicated solely to that partner unless explicitly arranged. Typically, the trees funded by all partners and individual contributors go into the same pool of projects. For example, if Partner X funds 1,000 trees, those might be planted as part of a 20,000-tree project in County Galway alongside trees funded by other individuals and partners. We do not typically set aside a separate plot that only contains Partner X’s trees (unless a special sponsorship of a specific site is negotiated). Therefore, partners should understand that references to “their” trees means “the trees they funded which are part of larger reforestation efforts.” We may upon request provide general information like “Your contribution of 1,000 trees was used in projects across A, B, and C sites.” But partners cannot dictate or choose the exact site or distribution of their funded trees without a special agreement.
8.8. No Endorsement or Agency: Partnering with Reforest Nation does not make either party an agent, legal partner (in the business sense), or representative of the other. Neither party can enter into contracts or commitments on behalf of the other. Reforest Nation’s acknowledgment of a partner (such as listing their logo as a supporter on our site) is not an endorsement of the partner’s products or services. Conversely, a partner featuring Reforest Nation does not imply we endorse that company beyond thanking them for their environmental responsibility. We include this to avoid any misunderstanding: e.g., if a partner is in a sensitive industry, our acceptance of their tree sponsorship is focused purely on the benefit to the environment and is not a statement about any other aspect of their business.
8.9. Partner Indemnity: (This clause is particularly geared towards business partners) The business partner agrees to indemnify and hold Reforest Nation harmless from any and all claims, liabilities, damages, or expenses (including legal fees) arising from the partner’s breach of Section 8 or misuse of Reforest Nation’s name and logos. For example, if the partner uses our logo without permission in a way that causes us to be falsely associated with a product and we face a claim, the partner should cover our costs. This indemnity is in addition to any general indemnity in Section 13 or 14.
8.10. Term Sheets or Separate Agreements: While these Terms govern generally, for significant partnerships Reforest Nation may sign a separate partnership agreement or memorandum of understanding with a partner. If such an agreement is executed and there is any conflict between its terms and these Terms, the specific agreement will prevail for that partnership. However, in absence of any separate written contract, these Terms fully apply to all interactions with business supporters.
8.11. Changes in Partner Terms: Reforest Nation reserves the right to update or modify the terms of partnerships, and how we structure corporate packages, at any time. Any such changes will not retroactively affect a contribution already made but could affect future renewals or continued usage of our brand. We will usually communicate directly with partners about any changes that specifically affect them.
9. Disclaimers of warranties; limitations of liability
Reforest Nation endeavors to operate with high integrity and to deliver meaningful environmental outcomes. However, there are important legal limits to what we promise to users, and we must disclaim certain liabilities. This section contains important disclaimers and limitations on our liability to you:
9.1. “As Is” Provision of Service: You understand and agree that our website, services, and all content are provided “as is” and “as available” without any warranty of any kind. Reforest Nation makes no representations or warranties of any kind, express or implied, about the operation of the site or the information, content, materials, or products included on the site. We do not guarantee that the site will be available at any particular time or location, that it will be secure or error-free, that defects will be corrected, or that the site is free of viruses or other harmful components. To the fullest extent permitted by law, Reforest Nation disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement . The use of our services is at your sole risk.
9.2. No Guarantee of Results or Outcomes: While we are passionate about reforestation, we do not guarantee any specific outcomes from our activities or your contributions beyond the commitment that we will plant the intended number of trees (per Section 3). For example, we do not warrant or guarantee that planting trees will achieve a particular carbon offset for you, or that it will fully “offset” any individual’s or company’s carbon footprint (carbon sequestration depends on many factors over time). We do not guarantee that any wildlife population will increase as a direct result of our plantings, or that forests will reach maturity without losses. Any descriptions on our site of potential environmental benefits (such as “X trees can absorb Y tons of CO₂ over 10 years” or “supports biodiversity by providing habitat to Z species”) are general estimates based on third-party research or our own analysis, and not a promise of performance. You acknowledge that environmental restoration is a long-term endeavor with inherent uncertainties.
9.3. No Liability for Site Access and Technical Issues: Reforest Nation does not warrant that the functions of the website or the member portal will be uninterrupted or error-free. We are not liable for any disruption or loss you may suffer as a result of system downtime, slow performance, viruses, data loss, or other technical issues. This includes any failure in delivering emails (like certificates or updates) due to spam filters, incorrect addresses, or other issues outside our immediate control. We will, however, attempt to assist with technical issues when possible (for instance, re-sending a certificate if you contact us). It is your responsibility to ensure you have adequate hardware, software, and internet connection to use our services and to implement your own protections (like anti-virus software). Reforest Nation shall not be responsible for damage to your computer system or loss of data that results from the download of any content from our site.
9.4. Limitation of Liability: To the maximum extent permitted by Irish law, Reforest Nation and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the site or services, or your inability to use the site or services, or for any loss of profits, loss of goodwill, loss of data, business interruption, or other intangible losses (even if we have been advised of the possibility of such damages) . Direct damages (to the extent not excluded by other parts of this section) are also limited. In particular, if Reforest Nation is found liable to you for any claim arising from these Terms or the use of our services, our aggregate liability to you shall not exceed the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the liability. If you have not paid anything (for example, browsing the site for free), then our liability is zero to the extent permissible by law. This limitation applies to any and all claims, whether based on warranty, contract, statute, tort (including negligence), or any other legal theory.
9.5. Exceptions: Nothing in these Terms shall operate so as to exclude or limit Reforest Nation’s liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be excluded or limited by law . For example, if a visitor attending one of our official events is injured due to our gross negligence, we could be held liable despite any disclaimers (we mention this to clarify that our Terms are not waiving any mandatory protections under Irish law).
9.6. User Responsibility for Indirect Damages: Without limiting the generality of the above disclaimers, you acknowledge that Reforest Nation is not responsible for any indirect consequences of your use of our services. For instance, if you planned to use our certificate by a certain date for a gift and our site was down, causing you inconvenience, we are not liable for your missed opportunity or any distress caused. Similarly, if you take statements from our website and make decisions or public statements (for example, claiming a specific carbon offset for regulatory purposes) and that leads to any loss (like regulatory non-compliance or reputational harm if the offsets are deemed insufficient), that is not on Reforest Nation – we did not guarantee that outcome. Essentially, we cannot cover every ripple effect; we provide our service and content in good faith, but you must use your own judgment and, where needed, seek professional advice for things like carbon accounting or tax implications of donations.
9.7. Site Visits and Third-Party Liability: As noted, any physical visits to our project sites outside of official events are not authorized. If you choose to visit a site on your own (which we discourage), you assume all risk and liability for any injuries, trespass, or damages, and you agree that Reforest Nation has no liability in that scenario. During official events, we will have separate terms/waivers that cover on-site risks; generally those terms require participants to assume the inherent risks of outdoor activities. Reforest Nation is not responsible for the actions or omissions of third parties that might impact our operations or your experience – for example, if a landowner hosting a public planting event does something negligent, or if our payment processor mishandles data, those third parties may bear responsibility but Reforest Nation does not automatically absorb liability for others’ faults.
9.8. No Warranty on Information Accuracy: While we strive to keep information on our website up-to-date and accurate, we do not guarantee that all information (including project updates, tree counts, or any content) is completely accurate, complete, or current at all times . For example, numbers of trees planted may have some reporting lag, or certain descriptions might be simplified for a general audience and not contain exhaustive scientific detail. The material on the site is provided for general information and inspirational purposes, and should not be relied upon as the sole basis for making significant decisions. If we provide projections or forward-looking statements (like “we aim to plant X trees by year Y”), those are aspirational and not firm promises.
9.9. Third-Party Links and Content: Our website may include links to third-party websites or resources (for example, a blog referencing a news article, or a partner’s site). We are not responsible or liable for the content, accuracy, or opinions expressed on third-party websites, and such websites are not investigated, monitored, or checked for accuracy or completeness by us. Inclusion of any linked site on our platform does not imply approval or endorsement by Reforest Nation. If you decide to leave our site and access these third-party sites, you do so at your own risk. We will also not be responsible for any transactions or interactions you have with third parties, even if you learn about them through us (for instance, if you choose to buy something from a partner’s site via a link, any issues with that purchase are between you and the partner).
9.10. Release: As far as applicable law allows, you release Reforest Nation and its officers and agents from any and all liability, claims, or damages arising from or related to any dispute between you and any other user of the site or service (for example, if a dispute occurred in a user forum or among community members), or between you and a business partner of ours. We don’t anticipate such disputes on our positive platform, but this is a standard release clause.
9.11. Insurance Disclaimer: We do not carry any insurance obligation for users. For example, contributions are not insured or guaranteed by any governmental or financial entity. Any risk of loss in value or usefulness of your contribution (aside from our planting obligation) is borne by you. We maintain appropriate insurance for our own operations (like public liability insurance for events), but that is not a promise of coverage to users beyond legal liability.
9.12. Consumer Rights Notice: If you are a consumer (not a business user), you may have legal rights in your jurisdiction that impose certain obligations on us or grant you certain remedies which cannot be disclaimed or limited. Our intention is that these Terms be read to be consistent with any such rights. For example, under Irish law, certain exclusions of liability might not apply to a “consumer” as defined by law. Nothing in these Terms is intended to override mandatory consumer protections. In the event any provision is found unenforceable in a consumer context, it will be adjusted (narrowly interpreted) rather than voided entirely if possible, to allow the rest of the Terms to remain in effect (see Section 14.4 on severability).
10. Marketing, testimonials, and user-provided content
We love to highlight the positive experiences and feedback from our supporters. This section covers how we may use content that you provide (such as testimonials or social media posts) and our rights to manage content on our platforms:
10.1. Use of Testimonials and Feedback: By providing Reforest Nation with a testimonial, review, comment, or any form of feedback (for example, through our website, via email, on our social media pages, or in a survey), you grant us permission to use your testimonial or feedback in our marketing and promotional efforts. This includes the right for us to quote your comments, use your first name (and last initial or city, where appropriate) or username, and use any images or videos you shared, in materials such as our website, newsletters, social media posts, brochures, presentations, or funding applications. For instance, if you email us saying “I gave a tree as a gift and my mom loved it!”, we might want to quote that in a social media post. We will typically use only your first name (e.g., “– Sarah, London”) unless you provided a handle (like a Twitter name) in which case we might use that. We will not reveal personal contact information (like your full surname or email) without your explicit consent. If you prefer that we do not reuse something you said, you should let us know at the time of providing the feedback or as soon as possible thereafter. We will honor such requests going forward, though we cannot retract materials already published.
10.2. No Compensation for Testimonials: If you provide a testimonial or feedback, you understand that you will not receive any compensation (financial or otherwise) for our use of it. It is entirely voluntary on your part to share and allow us to use it. The benefit is mutual goodwill and helping to spread the word. We may edit testimonials for length or clarity, but we will not alter the sentiment. For example, we might shorten a long Facebook comment for a concise quote, or correct a minor typo, but we won’t fundamentally change words to put them out of context.
10.3. Social Media Tags and Campaigns: If you participate in one of our social media campaigns or challenges (for instance, using a hashtag we promote, or posting a photo of a tree planting with tagging us), we may reshare or feature your content on our own social channels or website. By using our hashtag or tagging our official account, you are indicating that you don’t mind us seeing and possibly resharing your post (subject to the settings of the platform). We will typically credit you by username. If your account is private, we cannot see or share that content. If public and later you want us to remove something we shared of yours, contact us and we’ll do our best to comply in future, though we cannot erase what’s already been shared externally by others.
10.4. Moderation of User Content: Reforest Nation may allow users to leave comments (e.g., on blog posts), join discussion forums/groups, or otherwise contribute content on our platform. We reserve the right to monitor, moderate, edit, or remove any user-contributed content at our discretion. If any content is, in our judgment, offensive, defamatory, abusive, obscene, spam-like, misleading, or in violation of these Terms or any law, we may take it down without prior notice. We can also disable a user’s ability to post if they repeatedly violate our guidelines. Users have no guaranteed right to have their content displayed on our site – for example, if you submit a story or comment, we are not obliged to publish it, especially if it doesn’t meet our standards or fit our messaging.
10.5. Reforest Nation is not responsible for what users post, but we will act to address inappropriate content when we become aware of it.
10.6. Right to Remove or Edit Content: We have editors and moderators who may remove or edit user content. We might remove part of a comment that contains a personal phone number (for privacy), for example, or we might reject a post that is entirely self-promotional. We do not have to provide a reason for removal, but typically it will be due to a breach of our policies or relevance. If we remove content, our decision is final. Please note that if you see content that you believe should be removed (for violating these Terms or otherwise), you can report it to us.
10.7. Reuse of Public Statements: If a user (especially a business partner or public figure) makes a public statement (like a press release or tweet) about Reforest Nation, we may respond to it or share it in our communications for transparency or promotional reasons. For example, if a celebrity tweets “I just planted 100 trees with @ReforestNation!”, we might retweet or mention that in our newsletter. We consider such content to be already public and fair to use in discussion of our impact.
10.8. Testimonials Do Not Guarantee Results: Sometimes we share success stories or testimonials (e.g., “This company’s customers loved that trees were planted for each purchase”). While these are genuine accounts, they are anecdotal and not a guarantee that every user will have the same experience or outcome. We present them for inspiration, not as assured results. This is a minor disclaimer: e.g., just because one person said they felt happier after planting a tree doesn’t bind us to make everyone happy.
10.9. Opting Out: If you have previously allowed us to use your testimonial or name and later change your mind, contact us in writing. 11.8. User-Provided AI Content: If our platform in the future allows users to submit AI-generated content (say, a user writes a blog post for our community that was AI-assisted), the user must disclose that and is responsible for the content (just like any user content under Section 10). We also reserve the right to reject AI-generated submissions if they are not suitable or original.
11.9. Copyright and AI: There is ongoing legal discussion about the copyright status of AI-generated content. For our purposes, any AI-generated content we publish we will treat as content we have rights to (either through licensing of the AI or because it’s based on our inputs). 12. Legal governance (governing law, dispute resolution, changes to terms)
It is important for both you and Reforest Nation to know which laws apply to our agreement and how any disputes will be handled. Additionally, this section covers our right to update these Terms and other miscellaneous legal provisions.
12.1. Governing Law: These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Ireland. Ireland is our country of registration and operation, and we choose Irish law to govern this agreement, without regard to its conflict of law principles. If you are accessing the site from outside Ireland, you are still agreeing that Irish law will apply (to the extent permissible; if certain consumer laws in your country must apply, that is a separate matter, but the core contract law is Ireland’s).
12.2. Jurisdiction: You agree that the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the services . You irrevocably submit to the exclusive jurisdiction of Irish courts. Injunctive Relief: Given the nature of our service, monetary damages may not always suffice to compensate for a breach of these Terms (especially regarding intellectual property or misuse of our site). You agree that Reforest Nation may seek injunctive relief (a court order to stop certain actions) in addition to any other remedies for any breach of these Terms. For example, if you misuse our trademarks or scrape our site, we can seek a court injunction to make you stop immediately, aside from any claim for damages.

We may agree to mediation or another form of alternative dispute resolution (ADR) if appropriate, but this is not an obligation for either party unless required by law. Under EU law, there are Online Dispute Resolution platforms available to consumers – our contact email can be used for any such process if you initiate it.

In entering into this agreement, neither party has relied on any statement or assurance that is not set out in these Terms.
12.7. No Waiver: If Reforest Nation delays or fails to exercise or enforce any right or provision of these Terms, that will not constitute a waiver of such right or provision. Similarly, if we waive a breach of these Terms by you on one occasion, that waiver does not operate as a waiver of a later breach. For instance, if you violate the Terms and we don’t immediately act on it, we still have the right to enforce it later or in other situations. Any waiver of rights has to be explicit and in writing to be effective.
12.8. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. . In other words, the rest of the agreement stands even if one part is struck down. For example, if a court finds our limitation of liability (Section 9.4) unenforceable in a particular case, that doesn’t void the entire contract – just that part won’t apply, but everything else remains binding. The parties (you and us) agree to negotiate in good faith a valid and enforceable provision to replace any invalid one that most closely approximates the original intent and economic effect.
12.9. Assignment: Reforest Nation may assign or transfer its rights and obligations under these Terms to another party in the event of, for example, a merger, acquisition, reorganization, or sale of assets, or by operation of law. You will be notified if this happens, and the Terms will continue to apply to your relationship with the new entity. You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without our prior written consent. Any unauthorized assignment by you is null and void. (This simply means this agreement is with you personally, and you can’t, say, transfer your user account or obligations to someone else without permission.)
12.10. Third-Party Rights: These Terms are between you and Reforest Nation. Except as expressly provided in these Terms, no other person shall have any rights to enforce any of their terms. In legal terms, we do not confer any benefits or rights under the Contract (Rights of Third Parties) Act on any third party, except where we specifically mention an affiliate or agent of ours having protections (like our employees under the liability limitations). A partner company, for instance, cannot claim they’re owed something just because they are mentioned tangentially. Each party can agree to rescind or vary these Terms without any third party’s consent.
12.11. Relationship of Parties: You and Reforest Nation are independent contracting parties. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us. You have no authority to make or accept any offers or representations on our behalf. For example, being a user or member does not make you our employee or give you power to speak for Reforest Nation in any official capacity.
12.12. Force Majeure: Reforest Nation shall not be liable for any failure to perform its obligations hereunder where the failure results from any cause beyond our reasonable control, including, but not limited to, acts of God, fire, flood, earthquakes, war, terrorism, strikes, supply shortages, pandemic, or governmental action. This clause ties into earlier provisions about delays. If an unforeseeable, uncontrollable event prevents us from providing the service (like a government ban on planting due to disease outbreak in plants), we are excused from performance for the duration of that event and may resume when possible.
12.13. Language: These Terms are drawn up in the English language. If they are translated into another language, the English text shall prevail in the event of a conflict. All communications between you and Reforest Nation will be in English, unless we specifically provide translations.
12.14. Headings and Interpretation: The headings used in these Terms (section titles, clause titles) are for convenience and reference only and do not affect the interpretation of the Terms . Also, when we say “including” in these Terms, it shall be deemed to be followed by “without limitation” unless the context clearly dictates otherwise. Similarly, use of singular or plural forms will be considered interchangeable where appropriate (e.g., “tree” includes “trees” and vice versa, where context allows).
13. User conduct and acceptable use
We expect users to use our platform and services in a respectful and lawful manner. This section outlines the standards of conduct expected and some examples of prohibited behavior. By accessing our site or services, you agree to adhere to the following:
13.1. Lawful Purposes: You may only use the Reforest Nation website and services for lawful purposes and in accordance with these Terms. You agree to comply with all applicable laws, regulations, and codes of conduct when using our site. You must not use our site to further any illegal activity or fraudulent purpose. This includes not using our services in any way that violates any local, national, or international law or regulation (for example, laws on money laundering, fraud, intellectual property, privacy, or cybercrime).
13.2. No Misuse or Interference: You must not misuse our website or services by knowingly introducing any harmful or malicious material . This means you shall not upload or transmit viruses, Trojan horses, worms, logic bombs, corrupted data, or other material that is malicious or technologically harmful. If we suspect an account is not genuinely yours or is being used illegitimately, we reserve the right to suspend or terminate it.
13.4. Prohibited Content and Behavior: When interacting on our platform or with our community (including through any communication channels like email, chat, social media, or events), you must not:
Harass, bully, or harm others – Do not engage in personal attacks, intimidation, stalking, or any form of harassment or hate speech. This includes harassment based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other characteristic. We are a community that supports positive environmental action, and we do not tolerate hate or abuse.
Publish or send offensive, obscene, or pornographic content – Our website and community should remain suitable for a general audience. Do not post content that is extremely violent, sexually explicit, or otherwise inappropriate. Similarly, do not use our communication tools (like contact forms or chat) to send such material to us or others.
Engage in defamatory or false statements – Do not post false information about Reforest Nation, our projects, other users, or any person or entity that could harm their reputation. While criticism and feedback are welcome, knowingly spreading falsehoods or unfounded accusations is not allowed. If expressing an opinion, make clear it is an opinion.
Spam or advertise – Do not use our platform to advertise products, services, or causes unrelated to Reforest Nation without authorization. This means no posting of unsolicited promotional content, fundraising appeals for other causes, chain letters, or mass messaging of users for commercial purposes . Also, scraping user information (like emails) for marketing is prohibited.
Collect data without permission – You must not harvest any information from our site that is not intentionally made public, especially personal data of other users. Automated data collection (bots, crawlers) is not allowed except for legitimate search engine indexing. You may not use any robot, spider, or other automatic device or process to access our site for any purpose without our express written permission.
Misuse our content – As covered in Section 7, you should not copy or distribute our content beyond the license given. Additionally, on user conduct: do not misuse or misrepresent Reforest Nation’s intellectual property. For example, don’t take our logo and create your own merchandise or event around it without permission.

For instance, if certain content is available only to members, do not try to hack around that to get it freely. Also, if we have rate-limiting (to prevent spam or overload), respect those limits and do not try to use multiple accounts or tools to bypass them.
Engage in any fraudulent behavior – This includes lying about your identity when claiming something (e.g., impersonating a gift recipient), using stolen payment information to make contributions, or any kind of scam that involves our services. If you are found to be engaging in fraud, appropriate actions will be taken, and relevant authorities might be notified.
13.5. No Unauthorized Public Representation: You shall not present yourself as an employee, agent, or official representative of Reforest Nation unless you are explicitly authorized (in writing) to do so. This means you cannot, for example, organize an event and claim it’s on behalf of Reforest Nation without our consent, or speak to the media claiming to represent us if you are just a user. Similarly, you should not use Reforest Nation’s name or branding in the title or description of any group, page, or event (online or offline) that you create, without clarity that you are independent (unless we agreed to co-host it). We appreciate and encourage grassroots enthusiasm, but for legal and quality reasons, unsanctioned events or initiatives must not appear to be official. Public claims of association: Businesses or individuals should refrain from making public claims that they are “partners” or “sponsors” of Reforest Nation unless such relationship truly exists and is approved (see Section 8). Misleading the public about your relationship with us (e.g., saying “We work with Reforest Nation” just because you planted one tree) is strictly disallowed and can harm our reputation. If you do wish to collaborate or organize something involving us, please reach out through official channels.
13.6. Compliance with Brand Guidelines: If you are given permission to use any Reforest Nation intellectual property (such as logos, badges, or certificate templates), you must follow the brand guidelines provided. This reiterates Section 8.3, but in user conduct context: even individuals who download our logos for a school project or personal presentation should not alter them or use them in a way that is embarrassing or misleading (for example, don’t put our logo next to extremist symbols, etc.). We reserve the right to revoke any permission to use our IP if we find misuse.
13.7. Respect for Our Community and Mission: We ask users to engage in respectful, constructive communication. This isn’t a legal mandate but a guideline: we foster a community of “eco-optimism” and positivity. Disagreements should be handled politely. Do not troll, flame, or sow discord purposely. Keep discussions on-topic especially in official forums. Any conduct that significantly disrupts the community’s harmony or the experience of other users may result in moderation or banning.
13.8. In serious cases (e.g., attempts to hack our systems, fraud, threats), we may also pursue legal action or cooperate with law enforcement. You may also be subject to an indemnification obligation (see Section 14.2) if your misconduct causes damage to us or gets us sued by a third party.
13.10. Indemnification for Breach: To reiterate an important point (which is further detailed below in Section 14.2): You agree to indemnify Reforest Nation for any losses, costs, liabilities, or expenses incurred by us as a result of or in connection with your violation of this User Conduct section or any other provision of these Terms. This means if your actions cause us harm or face claims (like someone sues us because of something you posted), you’ll cover those losses.
14. Miscellaneous provisions
This section includes additional terms that do not fall under the above categories but are nevertheless important for the enforceability and understanding of the agreement:
14.1. Age of Users: Currently, Reforest Nation does not mandate a minimum age for use of our website or for making contributions. Our services are open to individuals of all ages. However, we strongly recommend that users under the age of 18 (minors) obtain permission from a parent or guardian before engaging with our site, especially before making any payments or providing personal information. If you are a minor, you should review these Terms with your parent or guardian to ensure that you both understand your rights and obligations. We reserve the right, in the future, to establish a minimum age for creating an account or participating in certain activities (for example, we might decide that only users 13 and up can create accounts, in line with common digital policy, or require parental consent for younger users). If such a policy is introduced, we will update these Terms accordingly and take steps to enforce it (such as age verification if feasible). By accepting these Terms, you represent that you either are at least 18 years old or, if you are under 18, that you have the consent of a parent/guardian to use our service and that your parent/guardian has read and agreed to these Terms on your behalf. Reforest Nation is particularly mindful of protecting children and minors, so any content that is not appropriate for them (though we intend our content to be family-friendly) should be flagged. Parents or guardians: if you discover that a minor under your care has provided personal information or engaged in a transaction without your consent, please contact us and we will address the issue (for instance, we can cancel a membership subscription that a child accidentally started).
14.2. Indemnification: You agree to indemnify, defend, and hold harmless Reforest Nation Ltd, its officers, directors, employees, volunteers, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with: (a) your use of the website or services in violation of these Terms; (b) your breach or alleged breach of any provision of these Terms or of any representation or warranty you provide herein; (c) any content you submit or provide (e.g., user comments, testimonials that violate third-party rights, etc.); (d) your violation of any law or the rights of a third party (for example, if you infringe someone’s copyright through our site or defame someone); or (e) any transaction or dispute between you and a third party (such as a payment processor or partner) that arises through your use of our services. This indemnity extends to cover situations such as: if you were a business partner and you misused our logo and someone sued us for trademark misuse, you’d cover our costs; or if you write something on our community forum that gets us sued for libel, you would step in to protect us. We will endeavor to notify you promptly of any such claim and may, at your expense, allow you to assist in the defense or settlement of it, but we reserve the right to control the defense (to choose our legal strategy) to protect our interests. 14.3. No Third-Party Beneficiaries: As stated earlier in Section 12.10, these Terms do not give rights to anyone except you and Reforest Nation. However, for avoidance of doubt, Reforest Nation’s affiliates (like a subsidiary or parent company in the future, or a contractor working on our behalf) are considered protected by things like the limitations of liability and indemnities as if they were Reforest Nation itself. But a random third party cannot enforce anything here.
14.4. Severability: This is restated from Section 12.8 for emphasis: If any part of these Terms is found to be unenforceable, the rest remains effective. We’d replace any invalid clause with a valid one that achieves a similar result if possible. The purpose is that we want these Terms to be enforced to the maximum extent allowed, even if some part is knocked out.
14.5. Communications and Notices: We may communicate with you by email or by posting notices on the Reforest Nation website. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically (including by posting on our site or sending to the email associated with your account) satisfy any legal requirement that such communications be in writing. If you need to give notice to us under these Terms (for example, to report a breach or to cancel a subscription if you cannot do so through the standard method), you should do so via the contact information provided on our website (e.g., our support email or physical mailing address). Notices will be deemed given: (i) if by email, when that email has been sent to the last provided email address (and no bounce-back is received); (ii) if by post, on receipt as evidenced by delivery confirmation; and (iii) if by posting on website, at the time of posting. Keep your contact info updated so you do not miss any critical notices.
14.6. Rights and Titles: The headings of sections and subsections in these Terms are for convenience only. They are not part of the Terms and shall not affect the meaning or interpretation of any provision. Throughout these Terms, when we say “including” it is “including without limitation”. When we reference a section or clause number, it refers to parts of these Terms (unless context says differently).
14.7. Export Controls and Sanctions: This might not intuitively apply, but to be thorough: You represent that your use of Reforest Nation’s services does not violate any applicable export control or trade sanction laws. For instance, if you are located in a country that is subject to comprehensive sanctions by the EU or UN that would prohibit receiving goods or services from Ireland, you should not use our services (though planting trees generally isn’t a controlled export, we include this for formality).
